Terms Of Service
These Terms of Service (hereinafter referred to as the "Terms") define the conditions for using the online shop (hereinafter referred to as the "Service") provided by G.K. Uchino (hereinafter referred to as "the Company") on this website. Users (hereinafter referred to as "Users") shall use the Service in accordance with these Terms.
Article 1 (Applicability)
These Terms apply to all relationships between the User and the Company regarding the use of the Service.
In addition to these Terms, the Company may establish various provisions, such as rules for use (hereinafter referred to as "Individual Provisions"), concerning the Service. These Individual Provisions, regardless of their name, shall constitute a part of these Terms.
If there is a conflict between the provisions of these Terms and the provisions of the Individual Provisions in the preceding paragraph, the provisions of the Individual Provisions shall take precedence, unless otherwise specified in the Individual Provisions.
Article 2 (Sales Agreement)
In the Service, a sales agreement shall be established when the User makes a purchase application to the Company, and the Company notifies the User of its acceptance of said application. The ownership of said product shall transfer to the User when the Company delivers the product to the shipping carrier.
The Company may cancel the sales agreement in the preceding paragraph without prior notice to the User if the User falls under any of the following circumstances:
- If the User violates these Terms.
- If the delivery of the product cannot be completed due to an unknown address or long-term absence.
- In any other case where the Company deems that the relationship of trust with the User has been compromised.
Payment methods, shipping methods, cancellation methods for purchase applications, or return methods regarding the Service shall be in accordance with the methods separately determined by the Company.
Article 3 (Intellectual Property Rights)
The copyrights and other intellectual property rights of product photos and other content (hereinafter referred to as "Content") provided by the Service belong to the Company and other legitimate rights holders such as content providers. Users may not reproduce, reprint, modify, or otherwise make secondary use of these without permission.
Article 4 (Prohibited Acts)
Users shall not engage in any of the following acts when using the Service:
- Acts that violate laws or public order and morals.
- Acts related to criminal activities.
- Acts that infringe on copyrights, trademark rights, or other intellectual property rights included in the Service.
- Acts that destroy or obstruct the functions of the Company's servers or network.
- Acts that commercially exploit information obtained through the Service.
- Acts that may interfere with the operation of the Company's services.
- Unauthorized access or attempts to access.
- Acts that collect or accumulate personal information of other Users.
- Acts of impersonating another User.
- Acts that directly or indirectly provide benefits to anti-social forces in connection with the Company's services.
- Other acts that the Company deems inappropriate.
Article 5 (Suspension, etc., of Service Provision)
The Company may suspend or interrupt the provision of all or part of the Service without prior notice to the User if it determines that any of the following circumstances exist:
- When performing maintenance, inspection, or updates of the computer system related to the Service.
- When the provision of the Service becomes difficult due to force majeure such as earthquakes, lightning, fires, power outages, or natural disasters.
- When computers or communication lines stop due to accidents.
- In any other case where the Company determines that the provision of the Service is difficult.
The Company shall not be liable for any disadvantages or damages suffered by the User or a third party due to the suspension or interruption of the provision of the Service, regardless of the reason.
Article 6 (Restriction of Use and Registration Deletion)
The Company may, without prior notice, restrict all or part of the User's use of the Service or delete the User's registration if any of the following apply:
- If the User violates any provision of these Terms.
- If it is discovered that there are false facts in the registration information.
- If the credit card registered by the User as a payment method becomes unusable.
- If there is a default in payment obligations such as fees.
- If there is no response to contact from the Company for a certain period.
- If there has been no use of the Service for a certain period since the last use.
- In any other case where the Company deems the use of the Service inappropriate.
The Company shall not be liable for any damages incurred by the User due to acts performed by the Company based on this article.
Article 7 (Disclaimer of Warranty and Limitation of Liability)
The Company does not guarantee that the Service is free from de facto or legal defects (including defects in safety, reliability, accuracy, completeness, effectiveness, suitability for a particular purpose, security, errors or bugs, and infringement of rights).
The Company shall not be liable for any damages incurred by the User through the Service. However, if the agreement between the Company and the User regarding the Service (including these Terms) constitutes a consumer contract as defined by the Consumer Contract Act, this disclaimer shall not apply. Even in such a case, the Company shall not be liable for damages arising from special circumstances (including cases where the Company or the User foresaw or could have foreseen the occurrence of damages) among the damages incurred by the User due to the Company's default or tort caused by negligence (excluding gross negligence).
The Company shall not be liable for any transactions, communications, or disputes that arise between the User and other Users or third parties regarding the Service.
Article 8 (Changes to Service Content, etc.)
The Company may change the content of the Service or discontinue the provision of the Service without notifying the User, and shall not be liable for any damages incurred by the User as a result.
Article 9 (Changes to Terms of Service)
The Company may change these Terms at any time without notifying the User if it deems it necessary. If the User starts using the Service after the change of these Terms, the User shall be deemed to have agreed to the changed Terms.
Article 10 (Handling of Personal Information)
The Company shall appropriately handle personal information obtained through the use of the Service in accordance with the Company's "Privacy Policy."
Article 11 (Notices or Communications)
Notices or communications between the User and the Company shall be made by the method specified by the Company. Unless the Company receives a change notification from the User in accordance with a method separately specified by the Company, the Company shall consider the currently registered contact information to be valid and send notices or communications to that contact information, and these shall be deemed to have reached the User at the time of dispatch.
Article 12 (Prohibition of Assignment of Rights and Obligations)
The User may not assign or pledge to a third party their position under the usage agreement or their rights or obligations based on these Terms without the prior written consent of the Company.
Article 13 (Governing Law and Jurisdiction)
Japanese law shall be the governing law for the interpretation of these Terms. The application of the United Nations Convention on Contracts for the International Sale of Goods shall be excluded for the Service.
In the event of a dispute concerning the Service, the court having jurisdiction over the location of the Company's head office shall be the exclusive agreement jurisdiction court.
